Welcome to PureTrade Gems Ltd (“we”, “us”, “our”). We operate this website and online store, together with all associated information, tools, products and services (the “Services”). The Services are powered by Shopify, which enables us to offer a secure and reliable platform.
These Terms of Service (the “Terms”), together with any policies referenced herein, govern your access to and use of the Services and form a binding contract between you and PureTrade Gems Ltd.
By creating a trade account, visiting our website, or purchasing from us, you acknowledge that:
- you are acting in the course of business,
- you have read and agree to these Terms, and
- all transactions are strictly business-to-business (B2B).
These Terms supersede all previous terms and apply to all orders placed with us.
If you do not accept these Terms, please do not use the Services.
SECTION 1 – TRADE ACCOUNTS AND ELIGIBILITY
By agreeing to these Terms, you confirm that you are:
- a business customer buying for commercial purposes,
- authorised to act on behalf of your business, and
- providing accurate, current and complete information when registering or purchasing.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
We reserve the right to request proof of business status (e.g. VAT number, business registration, industry details) and may suspend or terminate accounts, cancel orders, or withhold dispatch if satisfactory proof is not provided.
SECTION 2 – OUR PRODUCTS
We make every effort to describe and photograph our products accurately. However:
- colours may vary due to screen differences,
- sizes are approximate, and
- all gemstones and natural materials vary in colour, pattern, clarity, shape and size, and such variations are not defects.
All product descriptions, pricing and availability are subject to change without notice.
We may limit quantities, restrict products, or discontinue items at any time.
SECTION 3 – ORDERS
When you place an order, you make an offer to purchase goods from us. Orders are only accepted when we issue an order confirmation.
We reserve the right to:
- accept or decline any order,
- request additional verification,
- cancel an order prior to dispatch,
- enforce minimum order quantities (MOQs) where applicable.
Please review your order carefully before submitting. We may not be able to amend or cancel orders once accepted, especially if already processed for dispatch.
Your rights to return or exchange products are strictly limited to what is stated in our Refund Policy.
SECTION 4 – B2B TRANSACTIONS (NO COOLING-OFF PERIOD)
All sales are business-to-business transactions.
The Consumer Contracts Regulations 2013 do not apply.
This means there is:
- no 14-day cooling-off period,
- no automatic right to cancel once an order is accepted,
- no returns unless goods are faulty or misdescribed, as set out in our Refund Policy.
SECTION 5 – PRICES, TAXES & BILLING
Prices may change without notice. The price charged is the price displayed at checkout at the time of purchase.
Unless otherwise stated, prices exclude VAT, shipping, handling, and any customs or import duties.
You agree to provide complete and accurate billing and payment details and ensure your information remains current.
By purchasing, you confirm that the payment method used is authorised and that all applicable charges and taxes will be honoured.
SECTION 6 – SHIPPING, DELIVERY & RISK
All delivery times are estimates only and not guaranteed. We are not responsible for delays caused by couriers, customs, or events beyond our control.
Risk of loss or damage passes to you once the goods are handed to the carrier for delivery, except where loss or damage is caused by our error or failure to dispatch the correct goods.
You are responsible for inspecting goods promptly upon receipt and notifying us of any issues within the timeframes set out in our Refund Policy. Claims for transit damage may require photographic evidence and cooperation with courier claims processes.
SECTION 7 – INTELLECTUAL PROPERTY
All content associated with the Services—text, images, graphics, designs, trademarks, logos and layouts—is owned by PureTrade Gems Ltd or our licensors and is protected by law.
You may use the Services only to browse and purchase products for your business.
You may not copy, distribute, modify or reproduce any content without written permission.
SECTION 8 – OPTIONAL TOOLS
Third-party tools are provided “as is” and without warranty. Your use of such tools is at your own risk.
SECTION 9 – THIRD-PARTY LINKS
We are not responsible for third-party content, products or policies.
SECTION 10 – RELATIONSHIP WITH SHOPIFY
All sales are made directly with PureTrade Gems Ltd. Shopify bears no responsibility for transactions between you and us.
SECTION 11 – PRIVACY POLICY
Your data is processed in accordance with our Privacy Policy and Shopify’s Privacy Policy.
SECTION 12 – FEEDBACK
You grant us a perpetual, royalty-free licence to use any feedback you submit.
SECTION 13 – ERRORS & INACCURACIES
We may correct errors in product descriptions, pricing or availability at any time.
SECTION 14 – PROHIBITED USES
You may not misuse the Services or engage in unlawful, abusive, or harmful conduct.
SECTION 15 – TERMINATION
We may suspend or terminate accounts at our discretion. Outstanding payment obligations remain enforceable.
SECTION 16 – DISCLAIMER OF WARRANTIES
The Services and products are provided “as is” without warranties except where required by law.
SECTION 17 – LIMITATION OF LIABILITY
To the fullest extent permitted by law, we are not liable for indirect or consequential losses, including loss of profit or business.
Our total liability shall not exceed the value of the goods supplied.
Nothing limits liability for death or personal injury caused by negligence or fraud.
SECTION 18 – INDEMNIFICATION
You agree to indemnify PureTrade Gems Ltd and Shopify against claims arising from your misuse of the Services.
SECTION 19 – SEVERABILITY
If any provision is unenforceable, the remainder remains in force.
SECTION 20 – ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and PureTrade Gems Ltd.
SECTION 21 – ASSIGNMENT
You may not transfer your rights without our consent.
SECTION 22 – GOVERNING LAW
These Terms are governed by the laws of England and Wales.
Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
SECTION 23 – CHANGES TO TERMS
We may update these Terms from time to time. Continued use constitutes acceptance.
